For this reason, according to sourceshareholder approval is required to change Anthropic’s existing corporate structure. The co-founders will receive a special class of stock that will give them decisive voting rights in nearly all strategically important decisions in the company’s management. Co-founders are able to retain a majority of voting rights as long as three of them own a certain minimum number of such shares. Anthropic did not have time to comment on the rumors at Reuters’ request.
At the same time, according to available information, the powers of the co-founders do not extend to the selection process for the composition of the board of directors, which has seven seats, one of which is currently vacant. Following the IPO, Anthropic employees will also receive preferred stock, which will give them decisive voting rights in certain decisions. As Reuters previously noted, Anthropic’s U.S. launch is tentatively scheduled for November, but is not particularly tied to the local midterm elections, so the timing could still change. After the IPO, Anthropic’s capitalization could reach a record $2 trillion.
